ATLANTA SWING DANCERS CLUB DUTIES OF OFFICERS
President. The President shall preside over all meetings of the Board and the membership. The President shall promote the objectives and purposes of the Club. The President shall be responsible for liaison between other Clubs. The President shall have such powers set forth in these Bylaws.
First Vice President of Membership. The Vice President of Membership shall be responsible for promoting and actively marketing Club membership, maintaining membership records, communication to the Members appropriate information about upcoming Club events and related activities through such methods a maintenance of Club hotline and periodic emails and encouraging membership drives.
The Vice President of Membership shall serve as President in the absence of the President and perform other duties which are not inconsistent with these Bylaws.
Second Vice President of Sales and Promotions. The Vice President of Sales and Promotions shall maintain and provide access to Club merchandise and educational material, including the videotape library, and shall conduct promotions, incentive programs, and other such functions as may appropriately be delegated to this position.
The Vice President of Sales shall serve as President in the absence of the President and the First Vice President and perform other duties which are not inconsistent with these Bylaws.
Treasurer. The Treasurer shall (i) have charge and custody of all corporate funds, unless otherwise designated; (ii)deposit the funds as required by the Board of Directors; (iii) keep and maintain adequate and correct accounts of the Club’s properties and business transactions; (iv) render reports and accountings to the Directors (and Members) as required by the Board of Directors or Members or by law; and (v) perform in general all duties incident to the office of Treasurer and such other duties as may be required by law, the Articles of Incorporation these Bylaws, or that may be assigned from time to time by the Board of Directors. The Treasurer shall also be responsible for ensuring that those filings and reports required by federal and state agencies are prepared. The Treasurer shall ensure that annual financial and budget reports as deemed necessary by the Board are prepared in a timely manner. The treasurer shall serve as the President in the absence of the President, the First Vice President, the Second Vice President and perform other duties which are not inconsistent with these Bylaws.
Secretary. The secretary shall (i) keep minutes of all meetings of Members and Board of Directors; (ii) be the custodian of the corporate records; (iii) give all notices as are required by law or by these Bylaws, and, generally, (iv) perform all duties incident to the office of Secretary and such other duties as may be required by law, the Articles of Incorporation, these Bylaws or that may be assigned from time to time by the Board of Directors. The Secretary shall also perform other duties as may be determined by resolution of the Board of Directors which are not inconsistent with these Bylaws.
